Official Rules

The following are the official rules (the “Official Rules”) for the Globoforce Recognition Story Contest (the “Contest”) sponsored by Globoforce Ltd. (“Sponsor”). All entrants (“Entrants”) agree to be bound by the Official Rules.

No purchase necessary to enter or win. The Contest is void where any aspect of the Contest is prohibited by law or where registration, bonding or translation is required.

1. How to Enter

To enter the Contest, each Entrant (also referred to as a “Contestant”) who is otherwise eligible under these Official Rules must submit all of the following materials at any time between 12:00:01 a.m. Eastern time on March 6, 2009 and 11:59:59 pm Eastern time on March 31, 2009 (the “Entry Deadline”) by sending an e-mail to contest@globoforce.com or by fax to +1 (508) 357-8964:

  • Your full name, complete mailing address with zip code, e-mail address, date of birth, country of origin, and daytime phone number with area code; and
  • An essay describing your worst employee recognition moment.

Contestant’s essay cannot contain the names of any specific individuals. Any submissions containing any names other than that of Contestant’s will be disqualified. No personally identifiable information about anyone or any employer other than the Contestant may be disclosed. Essay should describe your worst employee recognition moment: explain why the experience was so bad and what happened. Essay must be no more than 250 words. ESSAY MUST BE SOLELY YOUR ORIGINAL WORK.

Once submitted, entries become the sole property of Sponsor, cannot be modified by Contestant, and will not be acknowledged or returned. By submitting an entry, Contestant gives permission to Sponsor and hereby grants Sponsor a royalty-free, irrevocable, perpetual, worldwide, transferable, non-exclusive license to post Contestant’s entry, name, likeness and all other information about the Contestant contained in the entry on the Internet, and to otherwise use Contestant’s entry, name, likeness and all other information about the Contestant in the entry in any and all media now known or hereafter developed (including without limitation, print, broadcast, and Internet), for all business purposes including advertising and promotional activities without additional compensation, notice or approval, unless prohibited by law.

Contestant further warrants and represents that he/she has fully complied with these Official Rules and that his/her entry: (1) does not violate any law or regulation; (2) does not violate any agreement or understanding by which he/she is bound, including any confidentiality, employment or consulting agreement; (3) does not violate or infringe any right of any third party, including but not limited to intellectual property rights, such as but not limited to rights of copyright, trademark or patent, moral rights, or rights of publicity or privacy; (4) is not defamatory, slanderous, libelous, scandalous or obscene and does not portray any person in a false light; (5) is entirely Contestant’s own original work and Contestant owns or controls all right, title and interest in the essay, including but not limited to its copyright; (6) has not been accepted for previous publication or submitted in any other competition or contest; (7) does not contain any virus, bugs or other deleterious material; (8) does not contain the trademark, trade name or logo of any third party (but may contain a trademark, trade name or logo of Sponsor); and (9) does not name any person (living, dead or fictional) other than the Contestant.

By entering the Contest, Contestant agrees to indemnify and hold harmless Released Parties (as defined below) from any and all responsibility or liability arising out of or relating to participation in the Contest.

Do not include any names, logos, trademarks or other content/property not owned solely by you in your essay. Essay must not have been submitted to any other competition or contest or have been published elsewhere. If Sponsor determines, in its sole discretion, that the essay is inappropriate, indecent or unfit for publication, entry including such essay (as applicable) will be disqualified.

Sponsor may post essay, in whole or in part, without attribution; and it may edit, alter and make derivative works from essay and/or add comment/content to posted essay, all without compensation to or consent from the Entrant.

2. Entry Restrictions

Limit one entry per person. Multiple entries will result in the disqualification of all of your entries. No joint entries; a single individual must be identified as the Entrant submitting an essay. Sponsor and its agents will not be responsible for late, lost, incomplete, illegible, damaged, garbled entries, misdirected or postage due entries/mail or materials. By entering this Contest, Contestants agree to these Official Rules and the decisions of Sponsor and Sponsor’s selection panel, which are binding and final in all matters relating to this Contest.

3. Eligibility

Each Entrant must be an individual who is a legal resident at least the age of majority in his/her jurisdiction of residence as of the date of entry. The Contest is not open to residents of Cuba, Iran, Iraq, Syria, North Korea, Myanmar (formerly Burma), Sudan, Puerto Rico or the province of Quebec. Such residents are not eligible to participate. The Contest is void in these countries and in any other jurisdiction where prohibited or restricted by law. Sponsor, in its sole discretion, shall determine the eligibility of Entrants and the date of entry.

Any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within six months prior to the start date of the Contest, performed services for Sponsor, and their immediate family members and/or those living in the same household, are not eligible to enter or win. By entering, Contestants agree to indemnify, defend, release, discharge and hold harmless Sponsor, its parent, subsidiary and affiliated companies, advertising and promotional agencies and prize suppliers and their respective officers, directors, employees, agents and representatives (“Released Parties”) from any and all claims, liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to death or personal injury arising out of a Contestant’s participation in the Contest and/or acceptance or use or misuse of prize. By entering this Contest and accepting prize, winner grants permission to Sponsor to use his/her name, photograph, likeness, voice, prize information and/or biographical information (city, state and country only) for Sponsor’s programming, publicity and promotional purposes without further compensation, review or approval unless prohibited by law. All applicable federal, state and local laws and regulations apply.

4. Selection

Sponsor will select three (3) entries as the First Place, Second Place and Third Place winners. Selection will be based on the following equally weighted criteria: creativity of story; originality of story; and overall potential for appeal to the Sponsor’s audience. Because the Contest is a contest of skill, winning the Contest is dependent on the quality of submissions received. Winning entries will be chosen by April 15, 2009, and winners will be notified by e-mail on or about April 17, 2009.

If e-mail notification is returned as undeliverable, or if an Entrant is otherwise found to be ineligible, or if the selected winner cannot accept or receive the prize for any reason, the potential prize winner will forfeit the prize and an alternate winner will be selected. Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate winner, if any.

5. Prizes

Prizes will be given for winning entries in the following categories:

  • First Place – $500 GloboCertificate for award recipient’s gift of choice
  • Second Place – $250 GloboCertificate for award recipient’s gift of choice
  • Third Place – $100 GloboCertificate for award recipient’s gift of choice

All monetary amounts in these Official Rules are indicated in United States dollars. All fees, federal, state, local and income taxes or other taxes, costs or expenses relating to the use, acceptance and possession of any prize are the sole responsibility of each winner.

6. Conditions of Participation

Prize must be accepted entirely as offered or not at all. No substitution, transfer or cash redemption of prize except with Sponsor’s permission or where required by law. If prize becomes unavailable for any reason (as determined by Sponsor in its sole discretion), Sponsor may award a substitute prize/prize component of equal or greater value. If, for any reason, the Contest is not capable of running as planned, including but not limited to due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify and/or suspend the Contest. If the Contest is so affected, the selection panel will conduct the judging and award the prize in a manner deemed fair, equitable and in accordance with the spirit of these Official Rules as determined by Sponsor in its sole discretion. Sponsor may disqualify any individuals who Sponsor determines in its sole discretion have attempted to tamper (or who do tamper) with the entry process, violate these Official Rules or act in a disruptive or abusive manner. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to or alteration of entries; errors, defects or omissions in the advertisement or offering of this Contest; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof, including any injury or damage to participant’s or any other person’s computer related to, or resulting from, participation in or downloading or uploading any materials for this Contest. Contestants further agree not to knowingly damage or cause interruption of the Contest and/or prevent others from using the Contest. Submission of an entry is acknowledgement of and agreement to be bound by these Official Rules of this Contest. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

7. Governing Law

The Contest and the rights and obligations of Sponsor and Entrants will be governed by and controlled by the laws of The Commonwealth of Massachusetts, United States of America, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. All actions, proceedings or litigation relating hereto will be instituted and prosecuted solely within The Commonwealth of Massachusetts, Suffolk County. The parties consent to the jurisdiction of the state courts of Massachusetts and federal court located within such state and county with respect to any action, dispute or other matter pertaining to or arising out of the Contest.

8. Miscellaneous

Each Contestant expressly waives any right Contestant may have under the laws of the country of Contestant’s domicile or residency to have the Official Rules and all correspondence with Contestant written in the official language of such Contestant’s country of domicile or residency.

If any part of these Official Rules is held by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable, such part will be deemed modified or eliminated to the extent necessary, in the court’s opinion, to make it enforceable while preserving the original intent of the Sponsor, and the remaining parts of these Official Rules will remain in full force and effect. The Contest is void where prohibited by law.

9. Privacy

Entrant information submitted as part of the entry process will be collected in accordance with Sponsor’s Privacy Policy which can be found at http://www.globoforce.com/corporate/eng/privacy-corporate.html.

10. Sponsor

Sponsor of the Contest is Globoforce Ltd., 6 Beckett Way, Parkwest Business Park, Dublin 12, Ireland. 11. List of Winners

For a list of winners, available after April 20, 2009, mail a self-addressed, stamped envelope to: Globoforce Recognition Story Contest Winners, c/o Globoforce, 144 Turnpike Road, Suite 310, Southborough, MA 01772, USA. Requests received after May 18, 2009 will not be honored. Residents of Vermont, the United Kingdom, Canada and other jurisdictions where submission of return postage is prohibited may omit return postage.
